LICENSE AGREEMENT

This License Agreement (the 'License') is a legal agreement between you (the 'Licensee' or 'you') and the Tourism Authority
carrying business under the name 'Tourism Saskatchewan' (the 'Licensor', 'we' or 'us'), and sets forth the terms and conditions
under which you may use the images (the 'Images') contained on the Website (the 'Product'). THIS IS A LICENSE, NOT A SALE.
CAREFULLY READ THIS AGREEMENT BEFORE USING THIS PRODUCT OR ANY OF THE IMAGES. CLICKING THE ACCEPTANCE BUTTON, INSTALLING, COPYING,
OR OTHERWISE USING THIS PRODUCT OR ANY OF THE IMAGES, INDICATE YOUR ACKNOWLEDGEMENT THAT YOU HAVE READ THIS LICENSE AND ACCEPT
AND AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THE LICENSE

1. License
The license grants you a limited, non-exclusive, non-transferable License to use the images contained on the Product pursuant to the
terms and conditions of this license.

2. Permitted Uses
A. Members of Tourism Saskatchewan
The Licensee may, if it is a member of the Licensor:
(a) except in the case of Images used on websites, use the Images, on a one time use only basis, for:
(i) promotional activity relating to the member's business, provided that the Image(s) are not to be used
 as an integral part of the goods or services being promoted; or
(ii) general promotional endeavours related to the promotion of tourism in Saskatchewan generally.
(b) with respect to the use of the Images on websites, you may use the Images on your website provided that:
(i) the Images are embedded no higher than a base resolution of 100 dpi, 600 pixels either dimension;
(ii) the website may not be programmed to facilitate the downloading of the Images; and
(iii) the Images used on the website must reproduce the image credit, contained with the thumbnail of the
 Image on the Product, under each Image.
B. Partner of Tourism Saskatchewan
If the Licensee is a partner of the Licensor, the Licensee may:
(a) except in the case of Images used on websites, use the Images, on a one time use only basis, for promotional
 endeavours related to the promotion of tourism in Saskatchewan generally.
(b) with respect to the use of the Images on websites, you may use the images on your website provided that:
(i) the Images are embedded no higher than a base resolution of 100 dpi, 600 pixels in either dimension;
(ii) the website may not be programmed to facilitate the downloading of the Images; and
(iii) the Images used on the website must reproduce the Image credit, contained with the thumbnail of the
Image on the Product, under each Image.
3. Image Credits
All non website Image use must credit the owner of the Image copyright for the Image in use in a manner consistent with the copyright
notice contained with the thumbnail of the Image on the Product
4. Return or Deletion of Images
Once you have finished with your use of the Image(s) as permitted by this License, you must return the Image(s) or Product to the
Licensor or delete the Image(s) from your computer systems, as the case may be.
5. Exemptions
You will not:
(a) use or make copies of the Images or the Product except as permitted and in accordance with the terms of this License;
(b) use the Images to create scandalous, obscene or defamatory or immoral works or use the Images or the Product for any
 purpose which is prohibited by law;
(c) redistribute, sell or publish the Images as stock photography or clip art or as an integral part of any service or
 product (for example on postcards, T-shirts, posters, etc.);
(d) use any of the Images in any manner which would suggest their association with or endorsement of any product or service,
 other than tourism services in the Province of Saskatchewan;
(e) use or permit the use of the Image(s) or any part thereof as a trademark or service mark, or claim any proprietary
 rights of any sort in the Image(s) or any part thereof;
(f) remove any copyright notice or other proprietary notice or legend from the Product or the Images;
(g) except as and only to the extent expressly permitted in theis License or by applicable law, de-compile, reverse engineer,
 disassemble, modify or create derivative works of the Images, the Product, or any part thereof; or
(h) rent, lease, sub-license, assign or transfer the Product, any of the Images or this License.
6. Term
This License is effective until terminated. You may terminate it at any time by destroying the Product and Images together with all
copies in any form. The Licensee will also terminate if you fail to comply with any of its terms or conditions or if you cease to be
a member or partner of Tourism Saskatchewan, as applicable. You agree that upon termination of the License to cease to use the
Product and the Images together with all copies of the same in any form. The limitations of warrany and liability provision of this
License shall coninue in full force and effect and shall survive any termination of the License.
7. Limitations of Warranty and Liability
The Product and Images are provided on an 'as is' basis, without any other warranties or conditions, express or implied, including,
but not limited to,warranties of merchantable quality, satisfactory quality, merchantablility or fitness for a particular purpose, or
those arising by law, statute, usage of trade, course of dealing or otherwise. The entire risk as to the results and performance of
the Product and Images is assumed by you. Neither the Licensor nor our dealers or suppliers shall have any liability to you or any
other person or entity for any indirect, incidental, special or consequential damages whatsoever, including, but not limited to, loss
of revenue or profit, lost or damaged data or other commercial or economic loss, even if we have been advised of the possibility of
such damages, or they are forseeable. We are also not responsible for claims by a third party. The Licensor's maximum aggregate
liability to you and that of our dealers and suppliers shall not exceed the amount paid by you for the Product. The limitations of
this section shall apply whether or not the alleged breach or default is a breach of a fundamental condition or term or a fundamental
breach. Some provinces/states/countries do not allow the exclusion or limitation of liability for consequential or incidental damages,
so the above limitation may not apply to you.
8. Title
Title, ownership rights and all intellectual property rights in the Images shall remain in the Licensor and/or its suppliers
and licensors. The Images are protected by copyright and other intellectual property laws and by international treaties. You
acknowledge and agree that the rights granted to you pursuant to this License do not extend beyond the License granted pursuant to
section 2 and that you will not acquire any intellectual property rights in the Images.
9. Indemnity
You will indemnify and hold the Licensor harmless from and against any and all costs, liabilities, claims or demands whatsoever
(including reasonable lawyers' fees and expenses of any kind whatsoever on a solicitor and his own client basis) that arise or result
from your use, reproduction or distribution of the Images or the Product in contravention of this License.
10. General
(a) You agree that this is the complete and entire agreement between you and the Licensor with respect to the subject matter of
 this License and supersedes any prior agreements between you and the Licensor with respect to the subject matter of this
 License.
(b) You agree that, if any portion of this License is held to be invalid under any applicable rule of law, then such provision
 will not apply and such invalidity will not affect other provisions hereof which can be given effect without the invalid
 provisions, and to this end, the affected provisions hereof are declared to be severable. The above notwithstanding, such
 invalid provision will be construed and enforced (to the fullest extent permissible under applicable law) in accordance with
 the original intent of the parties as herein expressed.
(c) The License will be governed by the laws of the Province of Saskatchewan, excluding its conflicts of laws rules. You and
 the Licensor each submit to the exclusive jurisdiction of the courts of the Province of Saskatchewan, Canada provided that
 nothing in this Section shall affect the right of any party:
(i) to serve legal process in any other manner permitted by law; or
(ii) enforce any action, proceeding or judgement obtained under Saskatchewan law against the other or its property in
 the courts of other jurisdictions.

To the extent that a party has or hereafter may acquire any immunity from jurisdiction of any court or from any legal process (whether
through service or notice, attachment prior to judgment, attachment in aid of execution, execution or otherwise) with respect to itself
or its property, the party hereby irrevocably waives, to the extent permitted by law, such immunity in respect of its obligations
hereunder.
